Job Description – Chief Executive Officer (CEO) Company: Blue Wave Markets (Private Limited) Location: Pakistan (Resident – Mandatory) Reporting To: Board of Directors Regulatory Interface: SECP, PMEX, Clearing Members, Auditors

Key Responsibilities 1. Regulatory & Compliance Leadership Act as the primary point of contact with the Securities and Exchange Commission of Pakistan (SECP), Pakistan Mercantile Exchange (PMEX), and related regulatory bodies. Ensure full compliance with: Companies Act, 2017 SECP regulations, circulars, and fit & proper requirements PMEX marketmaking rules and operational guidelines Oversee timely submission of all regulatory filings, disclosures, and approvals. Ensure implementation of robust internal controls, risk management frameworks, and compliance monitoring systems. 2. Strategic & Operational Oversight Lead the setup, launch, and scaling of passive marketmaking operations. Approve and oversee trading strategies within boardapproved risk limits. Ensure capital adequacy, margin compliance, and prudent liquidity management. Supervise senior management, including operations, risk, compliance, and technology functions. 3. Governance & Board Interface Implement Boardapproved strategies and policies. Provide regular performance, risk, and compliance reports to the Board. Ensure strong corporate governance practices aligned with SECP best practices. Prevent conflicts of interest and ensure ethical conduct across the organization. 4. Risk Management & Financial Integrity Ensure strict adherence to risk limits, stoploss frameworks, and exposure controls. Oversee financial reporting, audits, and interaction with external auditors. Maintain the company’s financial soundness, integrity, and regulatory standing.

Mandatory Requirements To meet and exceed SECP’s Fit & Proper Criteria, the candidate must possess: Residency: Must be a resident of Pakistan with a verifiable local address. Education: Minimum Master’s degree in Finance, Economics, Business Administration, Accounting, or a related discipline from a recognized institution. Professional qualifications such as CA, ACCA, CFA, CPA, or equivalent will be strongly preferred. Experience: Minimum 10–12 years of postqualification professional experience.
