Director

1. Corporate Governance & Oversight • Attend and actively participate in Board meetings, committee reviews, and strategic planning sessions. • Ensure adherence to the Companies Act 2017, SECP corporate regulations, and fit & proper obligations. • Contribute to development and enforcement of governance frameworks, policies, and performance benchmarks. 2. Regulatory & Legal Compliance • Act as a resident director for SECP and PMEX communication requirements. • Ensure the company maintains good regulatory standing by complying with PMEX market-making rules, SECP filings, and fit & proper disclosures. • Review and sign off on quarterly and annual compliance and risk reports. 3. Strategic & Financial Stewardship • Monitor key financial, operational, and risk metrics across the company’s trading and compliance functions. • Participate in oversight of: o Capital management o Technology investment approvals o Internal control frameworks o Risk appetite thresholds 4. Operational Support During Setup Phase • Assist the CEO in structuring the company’s organizational chart, regulatory setup, and operational model. • Serve as a resident point-of-contact for auditors, banks, SECP, and PMEX as required. • Oversee initial hiring, onboarding, and performance evaluation for key team members.

Residency & Legal Standing • Must be a permanent resident of Pakistan. • Must have no criminal record, no financial defaults, and be compliant with SECP Fit & Proper Criteria for directors. Education • Minimum of a Bachelor’s degree in Finance, Economics, Law, Accounting, or a related field. • A Master’s degree, or professional qualification such as CA / CFA / ACCA / CPA / LLB is highly desirable. Experience • Minimum 7–10 years of professional experience, with: o At least 5 years in a financial institution, capital market, exchange, or regulated environment. o Exposure to corporate governance, risk management, audit, or trading operations. • Prior board-level or senior management experience is preferred.
